MERCHANT TERMS

This Website and its content are owned by QMedia, a partnership firm registered under the provisions of the Partnership Act, 1932 under the domain “www.mypresets.in” (collectively “Mypresets”/ “we”/ “our”/ “us”). We are into the business of Post Production of Videos (“Business”). These Merchant (each referred to as “Merchant”/ “you”/ “your”)  Terms (“Terms”) outline the rights, responsibilities, and obligations of merchants who wish to sell on our website “www.mypresets.in” and online marketplace (hereinafter collectively referred to as “Platform”) their digital assets such as lightroom presets, photoshop actions, LUTs, video templates, graphics and much more (herein collectively referred to as “Products”).


By becoming a merchant on our website, you agree to comply with these terms and conditions, which govern your use of our services as a seller.


ACCOUNT REGISTRATION

  1. To become a merchant, you must create an account on our Platform and provide accurate and complete information during the registration process.

  2. You are responsible for maintaining the confidentiality of your account credentials and ensuring that only authorized individuals access your account.

  3. You agree to promptly update any changes to your account information to ensure accuracy and compliance with our policies.

ELIBILITY 

  1. You must be at least 18 (eighteen) years old and have legal capacity to enter into a binding contract to use our Platform as a Merchant. If you are registering on behalf of a company or organization, you represent and warrant that you have authority to bind such entity to these Terms.

PRODUCT LISTING AND SALE

  1. By listing a Product on our Platform, you represent and warrant that you have the necessary rights, licenses, permissions and authority to sell the listed Product, and that they do not infringe upon the intellectual property rights of others.

  2. You are responsible for accurately describing and representing your Product listings, including providing relevant information, descriptions, pricing, images, and any applicable terms or restrictions.

  3. You are responsible for setting and managing the pricing, delivery, and fulfilment of the Products you sell.


INTELLECTUAL PROPERTY

  1. You assure us that as a merchant you retain all ownership rights to your Products.

  2. By listing a product on our Platform, you grant us a non-exclusive, worldwide, royalty-free license to display, promote, and distribute your product on our platform for the purpose of facilitating sales and marketing activities. Please refer to Intellectual Property Policy for further information.

ORDER FULFILLMENT AND DELIVERY

  1. When a customer purchases your Product, you are responsible for fulfilling orders promptly and delivering the purchased Products to buyers in a timely manner.

  2. You must ensure that the Products are securely delivered to the buyers and are in the condition as described in your listings.

  3. In case of any delivery issues or disputes, you agree to cooperate with our customer support team and participate in the resolution process.

CUSTOMER SUPPORT AND DISPUTES

  1. As a Merchant, you are responsible for providing customer support and resolving any disputes related to the Products you sell on our Platform.

  2. We may assist you in dispute resolution, but the ultimate responsibility for resolving disputes lies with you as the Merchant.

PROHIBITED ACTIVITIES 

  1. You agree not to engage in any illegal, fraudulent, or abusive activities while using our Platform.

  2. You agree not to sell or distribute any Product that infringe upon the intellectual property rights of others or violate any applicable laws or regulations.

  3. We reserve the right to suspend or terminate your account if you violate these Terms or engage in any prohibited activities. Please refer to Acceptable Use Policy for further information.

PAYMENT, FEES AND COMMISSIONS

  1. We will handle the payment processing for customer purchases. You authorize us to collect payments on your behalf and remit the funds to you, minus any applicable transaction fees or commissions for the use of our Platform and services.

  2. You agree to comply with our payment terms and procedures.

  3. We charge 25% (Twenty five) commissions excluding GST from Merchants for the use of our Platform and services. 

  4. You agree to pay all fees and commission owed to us in a timely manner.

SELLER RATINGS AND REVIEWS

  1. experience with your Products and services.

  2. You acknowledge that ratings and reviews may affect your reputation as a Merchant on our platform, and you agree to maintain a high standard of quality and customer satisfaction.Buyers have the opportunity to provide ratings and reviews based on their 

COMPLIANCE WITH POLICIES AND LAWS

  1. You must comply with our Acceptable Use Policy, Intellectual Property Policy, Protect Terms and Payment Terms of Service, Refund Policy, Take Down Policy and any other policies and guidelines outlined on our Platform.

  2. You are responsible for ensuring that your Products and other related activities comply with all applicable laws, regulations, and legal obligations.

TERMINATION AND SUSPENSION

  1. We reserve the right to suspend or terminate your merchant account, in whole or in part, if we determine that you have violated our policies, engaged in fraudulent activities, or failed to meet our standards.

  2. In the event of account termination or suspension, you may lose access to your listings, transactions, and related data. You will remain liable for any obligations incurred before the termination or suspension.

MODIFICATIONS TO THE TERMS

  1. We reserve the right to modify or update these Terms and Conditions at any time. We will notify you of any material changes through email or by posting a notice on our Platform.

  2. Continued use of our Platform after the effective date of the modified terms constitutes your acceptance of the updated terms. If you do not agree with the changes, you may terminate your merchant account.

INDEMNIFICATION

  1. You agree to indemnify and hold Mypresets, its affiliates, directors, employees, and agents harmless from any claims, losses, liabilities, damages, or expenses arising out of or related to your use of our Platform, violation of these terms, or infringement of any third-party rights.

LIMITATION OF LIABILITY

  1. To the extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising out of your use of our Platform or the sale of your Products.

GOVERNING LAW AND JURISDICTION

  1. These Merchant Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Surat, Gujarat.

  2. In the event of any dispute arising out of this Terms, the parties in connection of the dispute shall conduct negotiations in good faith to solve such dispute. If mutual resolution cannot be reached within 15 (fifteen) days after the commencement of such negotiations, the parties shall refer such dispute to a sole arbitrator. The arbitration proceedings shall be governed in accordance with the Arbitration and Conciliation Act, 1996 and rules framed thereunder. The venue, place and seat of the arbitration shall be Surat, Gujarat and the language of the arbitration proceedings shall be English or Hindi or Gujarati. The award rendered shall be in writing, and shall set out the reasons for the sole arbitrator’s decision. The award shall allocate or apportion the costs of the arbitration as the sole arbitrator deems fair. Any award made in such arbitration will be final and binding on the parties. This Terms, and the rights and obligations of the parties shall remain in full force and effect pending the award in such arbitration proceeding, which award, if appropriate, shall determine whether and when, any termination shall become effective.

SEVERABILITY

  1. If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

ENTIRE AGREEMENT

  1. These Merchant Terms constitute the entire agreement between you and Mypresets regarding your use of our Platform as a merchant and supersede any prior agreements or understandings.
